We would like to invite, you and anyone who supports you, to an Extra General Meeting (EGM) to talk about the changes to our Dissolution Clause in our Articles of Association On Tuesday 21st July 2026 At 11.00 am This will give us a chance to explain the new wording, and for you to ask questions. We will be providing tea, coffee and cake!

What we need to talk about:

The new wording and voting paper

The new wording about what we would do if we ever closed the Society

The new words are highlighted in PINK below:

The main two changes to the dissolution clause are:

1.     Any money left over after all bills are paid cannot be given to members of the Society.

2.     The members of the Society at the time may wish to share some or all of the left over money to another charity similar to ours.

 

Dissolution Clause:  If the proposal is confirmed by three quarters of the members present and voting, the Executive Committee shall realise any assets held by or on behalf of the Society. Any assets remaining after the satisfaction of any proper debts and liabilities shall not be paid to or distributed among members of the Society. The remaining assets shall be transferred to the Royal Mencap Society upon trust for people with learning disabilities and those among their families, dependants and carers in need, in accordance with the Society’s purposes. Any assets which cannot be applied in such manner shall be held by the Royal Mencap Society for its general charitable purposes.

If the members of the Society wish to vary this clause and transfer the funds on dissolution to
another charitable organisation with similar objects, then the Society will seek the written consent from the Royal Mencap Society for that action.
